Well respected large law firm is searching for a senior level corporate paralegal to join the firm. Candidates MUST have 8+ years corporate transactional paralegal experience, preferably with a large firm or in-house and MUST have either a 4 year degree or 2 year degree plus paralegal certificate. Candidates must have experience coordinating and managing multiple transactional closings including mergers and acquisitions, joint ventures and strategic investments, assisting with the preparation of closing documents and closing binders, as well as the preparation and filing of UCC and SEC EDGAR filings. Candidates must also have experience conducting due diligence, and analyzing lien and intellectual property search reports, in addition to corporate governance experience: preparing documents required to form corporations, partnerships and limited liability companies (as well as amendments, withdrawals, mergers and dissolutions), preparing qualification documents for foreign jurisdictions, drafting certificates, bylaws, operating agreements and resolutions, maintaining entity minute books.
